1. The agreement
PurchoSmart ("the service", "we", "us") is operated by Nextoria Information Technology LLC, a company registered in Dubai, United Arab Emirates. These Terms of Service form a binding agreement between us and the person or organisation using the service ("you").
If you are agreeing to these terms on behalf of a company, you confirm that you have authority to bind that company, and "you" means both you and that company. Our Privacy Policy forms part of this agreement.
If you do not agree to these terms, do not use the service.
2. Your account
You must be at least 18 years old and capable of entering into a contract. Accounts are for business use — the service is built for procurement and is not intended for consumers.
You are responsible for the accuracy of the information on your account, for keeping your sign-in credentials confidential, and for everything done through your account. Tell us promptly if you believe it has been used without your permission.
You may invite colleagues to your company account. Anything they do through it is treated as done by you, and you are responsible for making sure they follow these terms.
3. What the service does
You submit a sourcing request describing a product and a quantity. We identify candidate suppliers, place telephone calls to them using an automated voice agent, follow up by WhatsApp and email where a call does not connect, and return a ranked comparison of the quotes collected, together with recordings and transcripts of the calls.
The service is a research and communication tool. It gathers information on your behalf. It does not enter into contracts for you, place orders, take delivery, handle payment to suppliers, or act as your agent for any purpose beyond making the enquiries you have asked for.
What the service does with your enquiry
It does
- Finds candidate suppliers
- Calls them and asks your questions
- Follows up on WhatsApp and email
- Records, transcribes and ranks what it hears
It does not
- Enter into any contract for you
- Place an order or take delivery
- Handle payment to a supplier
- Verify, endorse or vet any supplier
Any contract you sign is between you and the supplier. We are not a party to it.
Features change. We may add, alter or withdraw parts of the service, and we will give reasonable notice of any change that materially reduces what an active plan provides.
4. Plans, minutes and payment
Starting a plan and paying
Plans give you a monthly allowance of talk minutes, priced in AED. When you pay by card you can choose to be charged in US dollars instead, at the USD price shown on the pricing page; plan changes and extra minutes are then charged in the same currency as your subscription. A talk minute is a minute the voice agent spends connected to a supplier. Calls that ring out, are engaged or are never answered use none of your allowance, and the number of requests you submit is not limited.
You can start a plan in two ways. Paying by card starts a subscription that renews automatically every month, on the same date, until you cancel it. Entering a referral code that we have issued to you opens a plan for the length set by that code; it does not renew, and nothing is charged through the website.
Card payments are processed by Stripe, our payment provider. We do not see or store your full card details. By subscribing, you authorise us to charge your card, through Stripe, the plan's price at the start of each monthly period until you cancel. Every payment is confirmed by email with an invoice and a receipt, which are also available on the Billing page.
Minutes, VAT and extra minutes
Each paid period gives you the plan's full allowance of talk minutes. Unused minutes do not carry over into the next period, except when you change plan as described below.
Prices are exclusive of VAT. Where VAT applies, it is added and shown on your invoice.
You can buy extra talk minutes in packs of 50, 100, 150 or 200 as a one-time payment, at your plan's per-minute rate. They are used only after your plan's own minutes, and they expire when your current plan period ends.
When your minutes run out, you cannot start a new sourcing request until you add extra minutes or your next period begins. A request already under way is allowed to finish, and we do not charge for minutes it uses beyond your allowance.
Changing plan
You can change plan from the Billing page:
- Moving to a higher plan takes effect immediately. You pay the new plan's full price, your billing date moves to the day of the change, and your unused minutes are carried over into the new plan and used first, until the end of its first period.
- Moving to a lower plan can take effect immediately in the same way, or at the end of your current period. If you choose the end of the period, nothing is charged until then and you keep your current plan until that date.
- Switching from a referral-code plan to a card plan takes effect immediately. The code plan ends, and its unused minutes carry over in the same way.
- When a change takes effect immediately, the plan you are leaving ends without a refund. The unused minutes carried over take the place of any refund.
Renewal, cancellation and refunds
Auto-renew is on when you subscribe. You can turn it off at any time on the Billing page, which cancels the subscription: future renewals stop, and your plan and its remaining minutes stay available until the end of the period you have already paid for. You can turn it back on before that date to keep the plan going.
If a renewal payment fails, Stripe will retry your card and you may be asked to update it. If the payment is not completed, your plan ends one day after the period you paid for, and new requests are paused until you pay or choose a plan again.
We may change plan prices. A new price applies to an existing subscription only from a renewal date at least 30 days after we have told you about it by email.
Except where the law requires otherwise, payments are not refundable once the period they pay for has begun, and extra minutes are not refundable once bought.
5. Acceptable use
You agree to use the service only for genuine procurement enquiries, and not to:
- submit requests for goods or services whose sale, purchase or import is unlawful in the United Arab Emirates or in the supplier's country;
- use the service to harass, mislead or repeatedly disturb a supplier, or to place calls for any purpose other than a real enquiry;
- use it for unsolicited marketing, political messaging, fundraising, surveys, or any campaign of calls or messages that is not a request for a quotation;
- submit a telephone number you know to be a personal number rather than a business contact point, or a number that has asked not to be contacted;
- attempt to obtain a competitor's pricing under a false description, or to impersonate another business;
- resell, sublicense or make the service available to a third party as a service of your own without our written agreement;
- copy, scrape, reverse engineer or attempt to extract the underlying models, prompts or data of the service;
- interfere with the service's operation, probe it for vulnerabilities, or circumvent any limit, rate control or access control.
You are responsible for ensuring that the enquiries you ask us to make are lawful, and that any supplier contact details you supply were obtained lawfully and may be used to contact that supplier about a purchase.
6. Calls and recordings
Calls made for your requests are placed by an automated voice agent, are recorded, and are transcribed. The agent identifies itself as an automated assistant calling about a purchase enquiry, and a supplier who asks to speak to a person, asks not to be called, or asks to end the call is not called again for that request.
Recordings and transcripts are made available to you within your account so that a quote can be checked against what was said. You agree to use them only for that purpose — evaluating and evidencing the enquiry — and not to publish them, share them outside your organisation, or use them for any other purpose.
Calls are made from numbers we operate. You may not represent to a supplier that a call was placed by a person, or that a recording is anything other than a recorded conversation with an automated agent.
7. Quotes, suppliers and what we do not promise
The information in a comparison report is what suppliers told us on the telephone or wrote to us in reply. We report it faithfully and attach the evidence. We do not verify it, and we do not warrant that it is accurate, complete, current or binding on the supplier.
In particular, and without limiting the above:
- a price given on a call is an indication, not an offer, and a supplier may change or withdraw it;
- availability, delivery timelines and specifications are as described by the supplier and are not checked by us;
- we do not select, endorse, vet, accredit or recommend any supplier, and inclusion in a report is not a recommendation;
- we do not guarantee that any minimum number of suppliers will answer, quote, or quote within any particular range;
- automated speech recognition and automated summarisation can misread what was said, which is why the recording and transcript are kept.
Any contract you enter into with a supplier is between you and that supplier. We are not a party to it, take no commission on it, and have no responsibility for the goods, the delivery, the payment or any dispute arising from it. Check a quote with the supplier before you rely on it.
8. Your content
You keep ownership of everything you put into the service — your requests, specifications, documents, invoices, supplier lists and messages ("your content").
You grant us a non-exclusive licence to host, process, transmit and display your content, and to disclose the parts of it that an enquiry requires to the suppliers we contact on your behalf, for as long as is needed to provide the service and to keep the records described in our Privacy Policy. That licence exists only to run the service for you.
We do not sell your content, publish it, or use it to build a price list or benchmark visible to any other customer. We may use aggregated and de-identified operational data — volumes, durations, error rates — to run and improve the service, in a form that does not identify you, your suppliers or your prices.
You confirm that you have the right to give us the content you upload, including any document that contains a third party's information.
9. Our intellectual property
The service, the software behind it, the PurchoSmart name and logo, and everything on this website other than your content belong to us or our licensors. Nothing in these terms transfers any of it to you.
We grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your own procurement while your account is in good standing. Reports we generate for you are yours to use inside your organisation.
If you send us feedback or suggestions, we may use them without obligation or payment to you.
10. Availability
We aim to keep the service available and working, but we do not promise that it will be uninterrupted or error-free. It depends on telephone networks, messaging platforms and third-party providers that we do not control, and it is subject to maintenance.
Unless we have agreed a written service level with you, no uptime commitment applies.
11. Suspension and termination
You may stop using the service at any time. A card subscription is cancelled from the Billing page and ends at the end of the period already paid for, with no further charges and no notice period. A plan opened with a referral code simply ends when its period does.
We may suspend or close an account, with notice where it is reasonable to give it and immediately where it is not, if these terms are breached, if the service is being used unlawfully or in a way that risks harm to suppliers or to us, or if amounts owed to us remain unpaid.
On closure your access ends. We keep records for the periods set out in the Privacy Policy, and you may ask us for a copy of your reports before your account is closed.
12. Liability
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.
Subject to that, we are not liable for indirect or consequential loss, nor for loss of profit, revenue, business, goodwill, anticipated savings, or for any loss arising from a decision you took on the basis of a supplier's quote.
Subject to that, our total liability arising out of or in connection with the service in any twelve-month period is limited to the amount you paid us for the service in that period.
The service is provided on an "as is" and "as available" basis, and except as expressly stated in these terms we give no warranties of any kind, whether express or implied.
13. Indemnity
You will indemnify us against claims, losses and reasonable costs arising from your use of the service in breach of these terms, from content you supplied that you did not have the right to supply, or from a dispute between you and a supplier.
14. Governing law
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute arising out of or in connection with them.
We would rather resolve a problem than argue about it. Write to us first and we will try to settle it directly.
15. Changes to these terms
We may update these terms. The date at the top of this page shows when they last changed substantively, and we will give notice by email or in the product before a material change takes effect. Continuing to use the service after that date means you accept the updated terms.
